Terms of Service

Schema LLC ("Schema," "we," "us," or "our") provides venue operations software and services to independent venue owners, nightlife operators, and promoters. Our platform is designed to manage talent bookings, contracts, payouts, and operational workflows for recurring DJ events and live entertainment venues.

By accessing our website at schemacorp.com, submitting an application, or using any of our services, you ("you" or "User") agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.

Schema provides venue operations infrastructure including, but not limited to:

• Talent booking pipeline and calendar management
• Digital contract creation and e-signature workflows
• Payout tracking and settlement documentation
• DJ and talent portal access
• Operational protocols and emergency response playbooks
• Ops Audit consultation services

Access to Schema's platform is provided on a subscription basis following completion of an Ops Audit and onboarding process. Schema reserves the right to modify, suspend, or discontinue any aspect of the service at any time with reasonable notice.

Message Frequency: Message frequency may vary depending on your engagement with our services and the stage of your onboarding. You may receive multiple messages per week during active onboarding periods.

Message and Data Rates: Message and data rates may apply. Standard carrier rates for SMS messages apply based on your mobile carrier plan. Schema LLC is not responsible for any charges incurred from your mobile carrier.

How to Opt Out: You can cancel the SMS service at any time. Just text STOP to any message you receive from us. After you send STOP, we will send you a final confirmation message to confirm you have been unsubscribed. Following that confirmation, you will receive no further SMS messages from Schema LLC unless you opt in again.

Carrier Liability: Carriers are not liable for delayed or undelivered messages. Delivery of SMS messages is subject to effective transmission from your network operator. Message delivery is not guaranteed.

No Third-Party Sharing: Your mobile phone number and SMS opt-in consent will not be shared with any third parties for marketing or promotional purposes. See our Privacy Policy for full details on how we handle your data.

By using Schema's services, you agree to:

• Provide accurate and complete information in your application and account
• Use the platform only for lawful venue operations purposes
• Not share your account credentials or allow unauthorized access to your account
• Not use Schema's platform to engage in any activity that violates applicable law
• Notify Schema promptly of any unauthorized use of your account or security breach

All content, software, workflows, templates, and materials provided through Schema's platform are the intellectual property of Schema LLC and are protected by applicable copyright and trademark laws. You may not reproduce, distribute, or create derivative works from Schema's materials without express written permission.

Subscription fees for Schema's platform are agreed upon during the Ops Audit and onboarding process. All fees are due as specified in your service agreement. Schema reserves the right to suspend access to the platform for non-payment after reasonable notice.

Schema's services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Schema does not warrant that the service will be uninterrupted, error-free, or completely secure.

To the maximum extent permitted by applicable law, Schema LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use our services, even if Schema has been advised of the possibility of such damages. Schema's total liability to you for any claims arising from these Terms shall not exceed the amount paid by you to Schema in the three months preceding the claim.

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Franklin County, Ohio.

Schema reserves the right to modify these Terms of Service at any time. We will provide notice of material changes by updating the "Last updated" date at the top of this page. Your continued use of our services after any changes constitutes your acceptance of the updated Terms.
